Terms of Service
The rules for using the Ulupa platform.
1General provisions
These Terms of Service ('Terms') govern your use of the Ulupa platform — the website at ulupa.ge and related mobile applications (the 'platform', 'we' or 'Ulupa').
By accessing or using the platform, or by registering an account, you agree to these Terms. If you do not agree, please do not use the platform.
These Terms are governed by the legislation of Georgia. The Privacy Policy is an integral part of these Terms.
2Definitions
- Platform — the Ulupa website and applications operated by Ulupa.
- User — any person who visits or uses the platform, including buyers and cooks.
- Cook — a verified user who prepares and sells home-made dishes through the platform.
- Buyer — a user who places orders for dishes.
- Order — a buyer's request to purchase dishes from a cook, formed through the platform.
- Content — all text, images, reviews and other materials on the platform.
3The role of the platform
Ulupa is an online marketplace and intermediary that connects cooks with buyers. The contract of sale for a dish is concluded directly between the buyer and the cook.
Ulupa is not the producer or seller of the dishes and is not a party to the sale contract. We provide the technology, facilitate ordering, payment and delivery, and offer customer support.
Cooks are independently responsible for the quality, safety and composition of their dishes in accordance with the law.
4Registration and account
Some features require registration. You must provide accurate and complete information and keep it up to date.
You are responsible for keeping your login details confidential and for all activity under your account.
We may suspend or delete an account that violates these Terms, provides false information, or is used unlawfully.
5Placing an order
Buyers place orders using the platform's functionality by selecting dishes, a delivery date from the cook's calendar, and a delivery or pickup option.
Submitting and paying for an order forms a contract between the buyer and the cook. After payment, the cook confirms the order and begins preparation.
Each cook works on their own schedule and has a limited number of orders per date; availability is shown on the platform.
6Prices, payment and commission
Prices are set by cooks and shown in Georgian lari (GEL), including applicable taxes where required.
Payment is made online through our payment partners (TBC Bank, Bank of Georgia). Ulupa receives payment as the cook's agent and transfers it to the cook after the order is fulfilled, retaining a platform commission.
The commission is deducted from the cook's earnings and does not increase the price paid by the buyer.
7Delivery and pickup
Orders can be delivered by courier partners or collected directly from the cook (pickup). The delivery cost depends on the distance and is shown before payment.
Risk of loss or damage passes to the buyer upon receipt of the order.
8Cancellation and refunds
Buyers may cancel an order before the cook confirms it. After confirmation, cancellation depends on the order status and the cook's agreement.
Where a paid order is cancelled, refunds are processed to the original payment method in accordance with our refund rules. Orders not confirmed by the cook by the scheduled date are cancelled automatically and refunded.
Due to the nature of freshly prepared food, a quality dish that has been accepted is generally non-returnable; quality complaints are handled through support.
9User conduct
You agree to use the platform lawfully and respectfully. You must not:
- provide false information or impersonate another person;
- upload illegal, harmful, offensive or infringing content;
- harass, threaten or abuse cooks, buyers or support staff;
- attempt to bypass the platform to arrange orders or payments off-platform;
- interfere with the platform's operation or security, or use automated scraping without permission.
10Reviews and content
Buyers may leave reviews about completed orders. Reviews must be honest and must not contain offensive language, personal data or advertising.
We use automated and manual moderation and may hide or remove content that violates these Terms.
By submitting content you grant us a non-exclusive right to display it on the platform in connection with the service.
11Intellectual property
The platform, its design, logos, software and content (excluding user-generated content) belong to Ulupa or its licensors and are protected by law.
You may use the platform only for its intended purpose and may not copy, modify or distribute its elements without permission.
12Liability
The platform is provided 'as is'. We work to keep it reliable but do not guarantee uninterrupted or error-free operation.
Ulupa is not liable for the quality, safety or legality of dishes, which are the responsibility of the cook, nor for losses arising from the sale contract between buyer and cook.
Nothing in these Terms limits liability that cannot be limited under the law of Georgia.
13Communication
Communication between buyers and cooks takes place through the in-app chat. For privacy and safety, phone numbers are not shared between parties; all order-related communication should go through the platform.
14Disputes and governing law
These Terms are governed by the law of Georgia. We aim to resolve disputes through negotiation; please contact support first.
Disputes that cannot be resolved amicably are subject to the competent courts of Georgia.
15Changes and contact
We may update these Terms from time to time. The current version is always available on this page with the 'last updated' date; significant changes will be communicated through the platform.
