Public Offer for Cooks
The agreement between Ulupa and cooks who sell through the platform.
1General provisions
This Public Offer (the 'Offer') sets out the terms on which Ulupa (the operator of the ulupa.ge platform) provides its services to cooks who prepare and sell home-made dishes through the platform.
Registering as a cook and submitting an application constitutes full and unconditional acceptance of this Offer. Together with the Terms of Service and Privacy Policy it forms the agreement between the cook and Ulupa.
This Offer is governed by the legislation of Georgia.
2Definitions
- Platform — the Ulupa website and applications operated by Ulupa.
- Cook — an individual who prepares and sells home-made dishes through the platform.
- Buyer — a user who orders dishes from a cook.
- Order — a buyer's request to purchase dishes, formed through the platform.
- Commission — the platform's fee, retained from the cook's earnings for each completed order.
3Subject of the Offer
Ulupa provides the cook with an online platform to list dishes, attract buyers, receive and manage orders, accept payments and organise delivery.
Ulupa acts as an intermediary and is not a party to the sale contract between the cook and the buyer. The cook sells the dishes in their own name and on their own behalf.
4Becoming a cook (verification)
To start selling, a cook completes registration, provides accurate information about themselves and their kitchen, and passes verification.
Verification may include an interview, a tasting of the cook's dishes, photographs of the dishes and a check of the kitchen and food-safety conditions. Ulupa may approve or decline an application at its discretion.
A cook should prepare a starting menu (we recommend at least 6 dishes) with accurate descriptions, photos, weight, price and number of portions.
5The cook's obligations
- comply with sanitary and food-safety norms when preparing and packing food;
- provide accurate, up-to-date information about themselves and their dishes;
- confirm and respond to orders within a reasonable time during working hours;
- prepare orders fresh for the selected date and hand them over for delivery or pickup on time;
- communicate with buyers only through the platform and not arrange orders or payments off-platform;
- treat buyers and staff respectfully.
6Listing dishes
The cook adds dishes with a title, description, price, weight, category and photos. The cook is responsible for the accuracy of this information, including allergens and composition.
Material changes to a dish (title, description, price, category, weight) are subject to moderation before they become visible.
A dish that has been ordered is not deleted but archived, so that order history is preserved.
7Orders and fulfilment
Each cook sets their own availability calendar and a maximum number of orders per date. When the limit is reached, the date becomes unavailable.
After a buyer pays, the cook confirms the order and prepares it; the order then moves through the statuses cooking, ready and completed.
An order that the cook does not confirm by the scheduled date is cancelled automatically and the buyer is refunded.
8Commission and payouts
Ulupa retains a commission from each completed order. The standard rate is set in the platform settings (by default 19.5%) and is shown to the cook; the applicable rate for a cook is authoritative on the platform.
If a discount or coupon applies, the commission is calculated on the order amount after the discount.
The cook's earnings (order amount minus commission and, where applicable, delivery) are paid out to the cook's bank details. The cook is responsible for their own taxes; Ulupa is not a tax agent.
9Payments
Payments are processed online through our payment partners (TBC Bank, Bank of Georgia). Ulupa receives the buyer's payment as the cook's agent and transfers the cook's share after the order is fulfilled.
The cook must provide accurate payout bank details. Ulupa is not liable if a payout fails due to inaccurate details provided by the cook.
10Delivery
Delivery is carried out by courier partners (Glovo, Wolt, Yandex and similar) or, where chosen, by buyer pickup directly from the cook.
The cook prepares and packs the order appropriately and hands it over to the courier or buyer on time. The cook's delivery obligation is fulfilled upon handover.
11Refunds and cancellations
If a buyer cancels a paid order or a quality complaint is upheld, Ulupa may refund the buyer. Small refunds (up to the threshold set in the platform settings, by default 50 GEL) are processed automatically; larger refunds are reviewed.
If funds have already been paid out to the cook, Ulupa may recover the refunded amount from the cook's future payouts.
12The cook's liability
The cook is solely responsible for the quality, safety, completeness and timely preparation of their dishes, and for compliance with food-safety and tax law.
Buyer complaints about a dish are directed to the cook through the platform. Ulupa is not liable for the dishes or for the sale contract between the cook and the buyer.
13Suspension and termination
Ulupa may hide a cook's profile or suspend or terminate their account for violations of this Offer, including poor quality, missed orders, food-safety breaches, off-platform dealing, abuse or providing false information.
Either party may terminate the agreement; the cook must first fulfil any outstanding orders.
14Changes to the Offer
Ulupa may update this Offer, including the commission and other terms. The current version is always available on this page with the 'last updated' date; continued use of the platform after changes means acceptance.
15Governing law and disputes
This Offer is governed by the law of Georgia. Disputes are resolved through negotiation first; unresolved disputes are subject to the competent courts of Georgia.
